What is a proxy vote?

A proxy vote allows shareholders to participate in important company decisions without attending the shareholder meeting in person. If you cannot attend, you may authorise another person—called a “proxy”—to vote on your behalf. Proxy voting is commonly used for matters such as:

• Electing board members

• Approving mergers or acquisitions

• Voting on significant corporate policies

You will typically receive a proxy statement outlining the matters up for vote, along with instructions on how to cast your proxy vote.
